TERMS OF USE CUSTOMER PORTAL

Valid for Switzerland, Austria and Germany

Applies to all natural or legal persons who have access to and use the LEASETEQ Customer Portal.
​
1. SCOPE OF APPLICATION
​
These Terms of Use ("Terms") govern access to and use of the LEASETEQ Customer Portal (collectively the "Portal") provided by LeaseTeq AG, Scheideggstrasse 73, 8038 Zurich, Switzerland, or its subsidiaries ("LEASETEQ").
​
To access or use the Portal, you ("User") must agree to these Terms. If you do not agree, you may not use or access the Portal. By accepting these Terms, you enter into an agreement with LEASETEQ (the "Agreement").
​
Unless expressly stated otherwise, all references to goods and services are for informational purposes only and do not constitute an offer to buy or sell goods or services.
​
These Terms do not govern leasing, credit, or other financing contracts between you and LEASETEQ. Such agreements are subject to separate financing contracts.

1.1 Consumer Protection Notice
If you are a consumer (a natural person acting for purposes outside their trade, business, craft, or profession), additional protections may apply under the laws of your country of residence:

Germany: Bürgerliches Gesetzbuch (BGB), particularly consumer protection provisions

Austria: Konsumentenschutzgesetz (KSchG) and Fern- und Auswärtsgeschäfte-Gesetz (FAGG)

European Union: Consumer Rights Directive (2011/83/EU) and Directive on Unfair Contract Terms (93/13/EEC)

2. PORTAL & ACCESS TO THE PORTAL

LEASETEQ provides the Portal to the User in accordance with these Terms and the Agreement. Users must register an account to access all or parts of the Portal.
​
Users must provide accurate, current, and complete information during registration and keep account information up to date. Accounts registered by bots or automated means are not authorized and will be terminated.
​
Users are responsible for maintaining the confidentiality and security of their login credentials and must not share them with third parties. Users are responsible and liable for all activities conducted under their account and must notify LEASETEQ immediately if their credentials are lost, stolen, or compromised.
​
2.1 Right of Withdrawal (EU/EEA Consumers)
If you are a consumer residing in the EU/EEA, you may have the right to withdraw from this Agreement within 14 days after acceptance without giving any reason. To exercise your right of withdrawal, notify LEASETEQ by email at dataprivacy@leaseteq.com.

3. RIGHTS & OBLIGATIONS OF LEASETEQ
​
LEASETEQ:

Provides the Portal with reasonable care and skill and takes appropriate measures to keep it free from viruses or harmful software.

Performs regular maintenance or improvements but does not guarantee uninterrupted operation. Temporary delays or interruptions may occur. LEASETEQ will, where reasonably possible, inform Users in advance.

Provides reasonable support during business hours.
-
May engage third parties for any obligations under these Terms.

Is liable for its subcontractors and ensures they are bound by appropriate confidentiality and data protection obligations.

May suspend access to the Portal or User account if illegal, fraudulent, or unauthorized activity is suspected. During suspension, the User remains liable for all applicable fees and charges.

3.1 Accessibility
LEASETEQ strives to ensure the Portal is accessible to users with disabilities in accordance with applicable accessibility standards, including WCAG 2.1 and relevant national legislation.
​
3.2 Feedback Rights
LEASETEQ reserves the right to request feedback via forms, questionnaires, or surveys to improve the Portal ("Feedback"). LEASETEQ may use such feedback freely, without obligation or compensation.
The User transfers all rights (including intellectual property rights) to any feedback provided—whether requested or voluntary—to LEASETEQ and waives any claims related to such feedback.

4. RIGHTS & OBLIGATIONS OF THE USER
​
The User agrees to use the Portal in compliance with the Agreement and all legal and ethical obligations applicable in their jurisdiction.
​
4.1 User’s Duty to Cooperate
The User must:

Cooperate free of charge as reasonably required for the fulfillment of this Agreement.

Provide LEASETEQ with all necessary information, documents, materials, access, software, and data needed for the Portal’s operation.

Inform LEASETEQ promptly of any errors or malfunctions and assist in diagnosing or resolving them as reasonably required.

Check their data for viruses or harmful components before uploading, using up-to-date antivirus software.

If the provision of the Portal is delayed due to the User’s failure to cooperate or other circumstances under their control, the User bears resulting disadvantages or additional costs.
​
4.2 Notification Obligations
The User must immediately inform LEASETEQ of any circumstances that may affect the provision or security of the Portal, including any misuse or suspected misuse.

4.3 Prohibited Uses
Users must not:

Circumvent or attempt to circumvent security measures of the Portal.

Use the Portal unlawfully, fraudulently, or for illegal purposes.

Access the Portal via automated systems or take actions that may overload its infrastructure.

Bypass restrictions that LEASETEQ may implement to prevent or limit access.

4.4 Intellectual Property Restrictions
Users must not, without prior written consent from LEASETEQ:

Decompile, reverse engineer, or derive the Portal’s source code.

Copy, modify, distribute, reproduce, translate, disassemble, or otherwise use any part of the Portal or its content.

Create derivative works based on the Portal or its content.

Users must not sell, sublicense, or provide access to third parties, or use the Portal for data mining or similar exploitation activities.
​
5. TERM & TERMINATION
​
This Agreement may be terminated by either party at any time. Termination does not affect rights or obligations accrued prior to termination.

5.1 Term
The Agreement enters into force upon the User’s acceptance of these Terms and remains valid until terminated in accordance with this section.

5.2 Termination Rights

By either party:

For convenience with 30 days’ written notice.
-
Immediately upon material breach after 7 days’ written cure period (if curable).
-
Immediately in case of insolvency or cessation of business.
-

Consumer rights: EU/EEA consumers may terminate this Agreement at any time without penalty or notice, subject to local consumer laws.

5.3 Termination by LEASETEQ
LEASETEQ may immediately suspend or terminate access if:

These Terms are breached.
-
Illegal, fraudulent, or harmful use occurs.
-
Required by law or authority.
-
Fees remain unpaid (if applicable).
-
The contract ends.

5.4 Consequences of Termination
Upon termination:
-
Portal access ends immediately.
-
Outstanding fees become due.
-
Clauses intended to survive (IP, liability limits, dispute resolution) remain in force.

User data may be retained as required by law or for legitimate business interests (see Section 8).

6. INTELLECTUAL PROPERTY
​
All existing rights, titles, and interests—including copyrights, trademarks, know-how, and other intellectual property rights ("IPR")—remain with the respective party.
LEASETEQ retains all IPR created during the Agreement; the User retains IPR they create.
​
6.1 Limited License
LEASETEQ grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Portal in accordance with these Terms. Any other use, including copying, distributing, displaying, reproducing, creating derivative works, or commercializing content, is strictly prohibited without prior written consent.
​
6.2 Content Restrictions
Systematic retrieval or reuse of Portal content without written consent is strictly prohibited. Modification, transmission, framing, or commercialization of content is likewise prohibited.
​
6.3 Consequences of Violations
If unauthorized third-party access or misuse occurs, this Agreement may be terminated (Section 5). The User may be held liable for reasonably foreseeable damages resulting from such breaches.

7. LIABILITY & WARRANTY
​
7.1 LEASETEQ Liability
LEASETEQ is fully liable for damages resulting from gross negligence or intentional misconduct. In all other cases, and to the extent permitted by law, liability is limited to direct damages up to the amount paid by the User in the 12 months preceding the event.
For consumers, nothing in these Terms limits liability for:

Death or personal injury due to negligence.

Fraud or fraudulent misrepresentation.
-
Any liability that cannot be excluded under applicable consumer law.

7.2 Service Availability
LEASETEQ is not liable for inaccuracies, omissions, or incompatibility of the Portal with specific goals, provided reasonable care has been exercised.
​
7.3 Force Majeure
Neither party is liable for non-performance caused by events beyond reasonable control (force majeure), excluding payment obligations.
​
7.4 Service Disclaimer
The Portal is provided “as is” and “as available.” LEASETEQ makes no warranties beyond those required by law.
​
8. DATA PROTECTION
​
LEASETEQ collects and processes personal data as necessary for the Agreement, as described in its Privacy Policy available on the LEASETEQ website.
​
8.1 Legal Basis
Processing is based on:

Contract performance (Art. 6(1)(b) GDPR)

Legitimate interest (Art. 6(1)(f) GDPR)

Legal compliance (Art. 6(1)(c) GDPR)

Consent (Art. 6(1)(a) GDPR) for marketing where applicable.

8.2 Compliance
LEASETEQ processes personal data in compliance with:

Swiss Federal Data Protection Act (FADP)

EU General Data Protection Regulation (GDPR)

Applicable national data protection laws in Germany and Austria.

8.3 Data Subject Rights
Users have rights to:
Access, rectification, erasure, restriction, portability, objection, and withdrawal of consent where applicable.

8.5 Data Retention
Data is retained only as long as necessary for its purpose or as legally required.
​
8.6 International Transfers
Where data is transferred outside the EU/EEA, LEASETEQ ensures adequate safeguards such as SCCs or adequacy decisions.

8.7 Data Processing Authorization
The User authorizes LEASETEQ to process relevant data for fulfilling this Agreement and to use anonymized data for analytics and service improvement in compliance with applicable laws.

9. CHANGES TO THE PORTAL & TERMS
​
9.1 Updates
LEASETEQ may amend these Terms by publishing an updated version on the Portal and/or sending it electronically.

Business users: 30 days’ prior notice.

Consumers: at least 30 days’ notice or as required by law.
​
9.2 Acceptance
Continued use of the Portal after changes take effect constitutes acceptance. Users who disagree may terminate the Agreement.
​
9.3 Service Modifications
LEASETEQ may modify, suspend, or discontinue the Portal. Significant changes will be notified as above.

9.4 Immediate Changes
LEASETEQ may implement immediate updates for:

Security fixes
-
Legal compliance
-
Prevention of illegal activity
-
Protection of LEASETEQ rights or property

10. DISPUTE RESOLUTION
​
10.1 Governing Law
These Terms are governed by Swiss law, excluding conflict rules and the CISG.
​
10.2 Jurisdiction

Business users: Courts at LEASETEQ’s registered office (Zurich, Switzerland) have exclusive jurisdiction.
-
Consumers: EU/EEA consumers may bring proceedings in their country of residence.

12. FINAL PROVISIONS
​
12.1 Entire Agreement
This Agreement constitutes the entire understanding between LEASETEQ and the User and supersedes all prior agreements on the same subject.
​
12.2 Assignment
Users may not assign any rights or obligations without written consent. LEASETEQ may assign its rights and obligations with 30 days’ notice.
​
12.3 Severability
If any provision is found invalid, the remaining provisions remain effective. Invalid clauses shall be replaced by valid ones approximating the intended purpose.
​
12.4 Language
These Terms are available in multiple languages. In case of discrepancies, the German version prevails, unless otherwise required by local law.
​
12.5 Compliance with Local Laws
Where mandatory local consumer laws offer greater protection, those provisions prevail.
